1 Acceptance of Terms

By accessing or using the Swapskees platform in any manner — including but not limited to visiting the website, creating an account, browsing listings, posting content, or communicating with other users — you agree to be bound by these Terms and Conditions, our Privacy Policy, and any additional guidelines or rules posted on the platform.

If you do not agree to these Terms in their entirety, you are expressly prohibited from using the Swapskees platform and must discontinue use immediately. Your continued use of the platform following the posting of any changes to these Terms constitutes acceptance of those changes.

These Terms apply to all visitors, users, registered members, and others who access or use the Service. By using the Service, you represent and warrant that you have the legal authority and capacity to enter into this agreement.

2 Description of Service

Swapskees is an online community platform operated by Source Dominion LLC that connects individuals who wish to voluntarily exchange their primary or secondary living environments on a temporary, mutually agreed-upon basis ("Swap Arrangement"). The platform allows users to create profiles of their living situations, browse the listings of other members, communicate with potential swap partners, and coordinate voluntary living exchanges.

Swapskees is a connection and introduction platform only. Source Dominion LLC does not own, manage, control, inspect, warrant, or guarantee any property listed on the platform. Source Dominion LLC is not a party to any agreement, transaction, arrangement, or interaction between users. The Company does not act as a real estate broker, property manager, landlord, tenant, sublessor, or agent in any capacity.

The platform does not facilitate the transfer of funds between users for the use of any property. Swapskees does not offer insurance, bonding, escrow, or any financial protection related to swap arrangements. All logistics, agreements, and conditions of any swap are the sole responsibility of the participating users.

Source Dominion LLC reserves the right to modify, suspend, or discontinue the Service — or any feature or part thereof — at any time, with or without notice, without liability to you or any third party.

3 Legal Disclaimer

4 User Eligibility

To use the Swapskees platform, you must meet all of the following eligibility requirements:

• You must be at least eighteen (18) years of age. The platform is not intended for use by individuals under the age of 18, and by registering, you represent that you are at least 18 years old.
• You must be legally capable of entering into a binding contract under the laws of your jurisdiction. This includes having the legal capacity to agree to these Terms without impairment due to intoxication, mental incapacity, or any other condition that would render a contract voidable.
• You must not be prohibited from receiving or using the services offered by Swapskees under the laws of the United States or any other applicable jurisdiction, including but not limited to being listed on any government-sanctioned prohibited parties list.
• If you are accessing the platform on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization to these Terms, and that the organization meets all applicable eligibility requirements.

Source Dominion LLC reserves the right to refuse registration or access to any individual at its sole discretion, without being required to provide a reason for such refusal.

5 Account Registration and Verification

To access most features of the Swapskees platform, you must create a registered account. During registration, you agree to provide accurate, current, and complete information, and to maintain and promptly update your account information to keep it accurate, current, and complete.

Email Verification: A valid email address is required for account registration. Upon registration, the platform will send a verification email to the address you provide. You must verify your email address to access the full features of the platform. Providing a false or inaccessible email address is a violation of these Terms and grounds for immediate account termination.

Phone Number Verification: A valid mobile phone number capable of receiving SMS messages is required. During registration, the platform will send a one-time verification code via SMS to your provided phone number. You must successfully verify your phone number to complete registration. Your phone number is used solely for verification and account security purposes and will not be displayed publicly on your profile or listings.

Accuracy of Information: You agree that all information you provide — including your name, email address, phone number, property information, and any other profile or listing details — is truthful, accurate, and not misleading. The submission of false, fraudulent, or misleading information is a material violation of these Terms and grounds for immediate account suspension or termination, without refund of any fees paid.

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Source Dominion LLC immediately of any unauthorized use of your account. Source Dominion LLC shall not be liable for any losses arising from unauthorized use of your account credentials.

You may not create more than one account per individual. The use of automated tools, bots, or scripts to create accounts is strictly prohibited.

6 User Listings and Content

Registered users with verified accounts may create listings describing their living situations for the purpose of finding potential swap partners. By creating a listing, you agree to the following:

Accuracy: All listing information, including property descriptions, amenities, property type, and photographs, must accurately represent the property being offered for swap. Listings that materially misrepresent the property are prohibited and may result in account termination.

Privacy Protection: To protect the privacy and safety of all users, exact street addresses are not displayed publicly on the platform. Only the neighborhood or district name and the city are shown to other users. You must not include your exact street address, apartment number, or any other specific location identifier in your listing title, description, or publicly visible fields. Violation of this policy may result in your listing being removed without notice.

Admin Review and Approval: All listing photos and new listings are subject to review and approval by Source Dominion LLC's moderation team before they are made publicly visible on the platform. This review process typically takes 24 to 48 hours but may take longer during periods of high volume. Source Dominion LLC reserves the right, in its sole discretion, to reject, remove, or require modification of any listing or listing content that it determines to be misleading, inaccurate, illegal, inappropriate, or in violation of these Terms.

Listing Status: Your listing will be assigned one of the following statuses: pending review (awaiting moderation), approved (publicly visible), or rejected (not published, with reason provided where applicable). A rejected listing status does not entitle you to any refund of fees.

7 Photo and Content Standards

By uploading any content to the Swapskees platform — including photographs, text descriptions, profile information, or any other media — you agree to the following standards and grant the following rights:

• Property Accuracy: All photographs uploaded to a listing must be of the actual property being listed. Stock photos, photos of other properties, computer-generated images, or any other non-authentic visual representations are strictly prohibited.
• Photo Limits: A maximum of ten (10) photographs may be uploaded per listing. Photos must be clear, well-lit, and reasonably representative of the property's current condition.
• Prohibited Content: You may not upload any content that contains nudity, sexually explicit material, violence, hate speech, illegal activity, defamatory statements, or any other content that is obscene, offensive, or inappropriate for a general audience. Such content will be removed immediately and may result in account termination.
• No Illegal Content: You may not upload any content that infringes upon the intellectual property rights of any third party, including copyrighted images, trademarks, or other protected works without appropriate authorization.
• Misleading Representations: Any photographs or descriptions that are intentionally misleading about the nature, size, condition, location, or amenities of a property are strictly prohibited.

License Grant: By uploading content to the Swapskees platform, you grant Source Dominion LLC a non-exclusive, royalty-free, worldwide, sublicensable, and transferable license to use, reproduce, display, distribute, and modify such content solely for the purpose of operating, marketing, and improving the Swapskees platform. This license continues for as long as your content remains on the platform and survives deletion only for content already incorporated into platform materials. You retain full ownership of all content you upload. You represent and warrant that you have all necessary rights, licenses, and permissions to upload such content and to grant this license.

8 User Conduct

By using the Swapskees platform, you agree to conduct yourself in a lawful, respectful, and honest manner at all times. The following conduct is expressly prohibited:

• Harassing, threatening, intimidating, abusing, or discriminating against any other user on the basis of race, ethnicity, national origin, religion, gender, sexual orientation, disability, or any other protected characteristic.
• Engaging in fraud, misrepresentation, or deceptive practices of any kind, including misrepresenting your identity, the property you are listing, or your intentions regarding any swap arrangement.
• Using the platform to solicit money, gifts, or financial arrangements in exchange for swap access or in any other commercial capacity not expressly authorized by Source Dominion LLC.
• Spamming other users with unsolicited communications, bulk messages, or repeated contact after a user has expressed that they do not wish to engage.
• Scraping, crawling, or otherwise collecting user data from the platform through automated means without the express written consent of Source Dominion LLC.
• Attempting to circumvent, disable, or interfere with any security feature, verification system, access control, or content moderation feature of the platform.
• Using the platform for any commercial real estate transaction, including but not limited to the rental, sale, lease, or purchase of property.
• Impersonating any person or entity, or falsely claiming an affiliation with any person or entity.
• Uploading or transmitting malware, viruses, or any other malicious code.
• Violating any applicable local, state, national, or international law or regulation in connection with your use of the platform.
• Posting or sharing the private personal information of any other user without their express consent.

Source Dominion LLC reserves the right to investigate any reported or suspected violations and to take appropriate action, including removal of content, account suspension or termination, and reporting to law enforcement, without prior notice.

9 Swap Arrangements

Swapskees facilitates introductions between users who express mutual interest in a living exchange. The platform provides communication tools and listing infrastructure to enable users to discover and connect with one another. Swapskees does not organize, supervise, endorse, guarantee, or participate in any swap arrangement.

Any swap arrangement entered into between two or more users is a private legal agreement between the participating individuals. Source Dominion LLC is not a party to any such agreement. The terms, conditions, timing, responsibilities, and obligations of any swap arrangement are entirely determined by the participating users.

Users acknowledge and agree that:

• Source Dominion LLC bears no responsibility or liability for any outcome of a swap arrangement, including but not limited to property damage, theft, personal injury, financial loss, legal disputes, lease violations, eviction, or any other consequence.
• Users are responsible for conducting their own due diligence on any potential swap partner, including but not limited to verifying identity, reviewing references, and confirming the accuracy of any representations made.
• Users should execute a written agreement with any swap partner that clearly outlines the terms, conditions, responsibilities, and duration of the swap.
• Users bear full legal responsibility for any damage they cause to a swap partner's property and for ensuring that their own property is left in the condition agreed upon.
• Source Dominion LLC does not conduct background checks on users. The presence of a user on the platform is not a representation or endorsement of that user's character, reliability, or fitness as a swap partner.

10 Privacy and Data

Your privacy is important to us. The collection, use, and handling of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Swapskees platform, you consent to the collection and use of your information as described in the Privacy Policy.

The following data practices apply to the Swapskees platform:

• Data Storage: User account data, listing information, and platform activity records are stored securely using Google Firebase, a cloud infrastructure platform operated by Google LLC. All data is stored in compliance with applicable data protection regulations.
• Phone Numbers: Your phone number is used exclusively for the purpose of account verification via SMS and for account security communications. Your full phone number is never displayed publicly on your profile or listing. Only the last four digits of your phone number may be shown for account identification purposes within your private account settings.
• Location Data: The platform stores and displays location data only at the neighborhood and city level. Your exact street address is never publicly displayed and is not required to be entered in any publicly visible field. Any location data you submit should conform to this standard.
• Data Retention: We retain your account data for as long as your account is active. Upon account deletion, your personal data will be removed from public-facing areas of the platform. Some data may be retained for legal compliance, fraud prevention, and dispute resolution purposes.
• Third-Party Services: The platform uses third-party services including Google Firebase Authentication, Google Firestore, and Google Firebase Storage. By using the platform, you also agree to the applicable terms of these third-party services.

11 Intellectual Property

All content, design, code, functionality, trade dress, trademarks, service marks, logos, graphics, user interface elements, and other proprietary materials that constitute the Swapskees platform — excluding user-generated content — are the exclusive intellectual property of Source Dominion LLC and are protected by United States and international copyright, trademark, and other intellectual property laws.

You may not reproduce, modify, distribute, display, perform, publish, license, create derivative works from, or sell any content or materials obtained from the Swapskees platform without the prior express written consent of Source Dominion LLC.

User Content Ownership: You retain full ownership of all photographs, text, and other content that you upload to the Swapskees platform. By uploading content, you grant Source Dominion LLC the limited license described in Section 7 of these Terms. This license does not transfer ownership of your content.

Feedback: If you provide any ideas, suggestions, feedback, or recommendations regarding the Swapskees platform ("Feedback"), you hereby assign to Source Dominion LLC all rights in such Feedback and agree that Source Dominion LLC shall have the right to use and implement such Feedback in any manner without obligation to you.

DMCA Notice: If you believe that any content on the platform infringes your copyright, please submit a notice of claimed infringement to legal@swapskees.com with the information required under the Digital Millennium Copyright Act.

12 Limitation of Liability

Without limiting the foregoing, Source Dominion LLC expressly disclaims all liability for:

• Any property damage, theft, vandalism, or deterioration arising from or related to any swap arrangement between users.
• Personal injury, illness, accident, or death occurring on or related to any property listed on the platform.
• Financial losses, including lost income, incurred expenses, security deposits, or any other monetary damages arising from a swap arrangement or its cancellation.
• Legal disputes between users, including disputes arising out of alleged breach of any swap agreement.
• Eviction, lease termination, or other legal action taken by a landlord, property owner, HOA, or other third party as a result of a swap arrangement.
• The accuracy, reliability, or truthfulness of any user's profile, listing, or communications.
• Any loss or damage resulting from unauthorized access to or alteration of your account, transmissions, or data.
• Any content posted, transmitted, or otherwise made available by any user through the platform.

The platform is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and course of dealing.

In jurisdictions that do not allow the exclusion or limitation of certain damages, Source Dominion LLC's liability shall be limited to the maximum extent permitted by applicable law. In no event shall the aggregate liability of Source Dominion LLC to you for any and all claims exceed the amount you paid to Source Dominion LLC, if any, in the twelve (12) months preceding the event giving rise to the claim.

13 Indemnification

You agree to defend, indemnify, and hold harmless Source Dominion LLC and its respective officers, directors, employees, shareholders, contractors, agents, licensors, service providers, and successors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees — including reasonable attorneys' fees — arising out of or relating to:

• Your violation of these Terms or any applicable law or regulation.
• Your use or misuse of the Swapskees platform, including any listings you create or any communications you send.
• Any swap arrangement you enter into as a result of connections made through the platform, including any property damage, personal injury, financial loss, or legal action resulting therefrom.
• Your violation of any third party's rights, including intellectual property rights, privacy rights, or contractual rights.
• Any content you upload, post, or transmit through the platform that causes harm to a third party.
• Any misrepresentation of your identity, property, or intentions.

Source Dominion LLC reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with Source Dominion LLC in asserting any available defenses.

14 Subscription and Payments

The Swapskees platform is currently offered free of charge during its beta launch period. During this period, all users — including those designated as "Pro" members — access all platform features at no cost. Source Dominion LLC makes no guarantees regarding the duration of the free beta period.

Pro Tier Pricing: Upon the conclusion of the beta period, a Pro membership tier will be offered at a rate of five dollars ($5.00) per month per user account. Source Dominion LLC reserves the right to adjust this pricing at any time, provided that existing paying subscribers receive no less than thirty (30) days' written notice prior to any price increase. Notice may be provided via email to the address associated with your account.

Billing: Pro subscription fees, when applicable, will be charged on a recurring monthly basis to the payment method on file. By providing a payment method, you authorize Source Dominion LLC to charge that payment method for all applicable subscription fees.

No Refunds: All fees paid for Pro subscriptions are non-refundable. No refunds or credits will be issued for partial months, unused periods of a subscription term, or cancellation prior to the end of a billing cycle. Cancellation of a Pro subscription will take effect at the end of the current billing period, after which your account will revert to the free tier.

Taxes: You are responsible for all applicable taxes, levies, and duties associated with your subscription. Source Dominion LLC may be required by law to collect taxes in certain jurisdictions.

Free Beta Participants: Users who join during the beta period may be offered special grandfathered pricing or benefits at the sole discretion of Source Dominion LLC. No specific pricing guarantee is made for beta participants.

15 Termination

Source Dominion LLC reserves the right, in its sole discretion, to suspend, restrict, or permanently terminate your access to the Swapskees platform — including deletion of your account and all associated data — at any time and for any reason, with or without prior notice, including but not limited to the following circumstances:

• Violation of these Terms or any applicable law or regulation.
• Submission of false, fraudulent, or misleading information during registration or in any listing.
• Engaging in conduct that Source Dominion LLC determines, in its sole discretion, to be harmful, disruptive, or contrary to the best interests of the platform or its users.
• Failure to pay any applicable subscription fees when due.
• Requests from law enforcement or government agencies.
• Extended periods of account inactivity, at Source Dominion LLC's discretion.

You may terminate your account at any time by contacting Source Dominion LLC at legal@swapskees.com or by using the account deletion feature within your account settings, if available. Termination of your account does not relieve you of any obligations incurred prior to termination, including payment obligations.

Upon termination of your account for any reason, your right to use the platform immediately ceases. Source Dominion LLC has no obligation to retain or provide you with copies of any content or data associated with your account after termination.

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 7, 10, 11, 12, 13, 16, and 17.

16 Governing Law

These Terms and Conditions and any dispute or claim arising out of or in connection with them — including any non-contractual disputes or claims — shall be governed by and construed in accordance with the laws of the State of Ohio, United States of America, without giving effect to any choice or conflict of law provision or rule that would cause the application of the laws of any other jurisdiction.

To the extent that any dispute is not subject to arbitration as described in Section 17, you consent to the exclusive jurisdiction of the state and federal courts located within the State of Ohio for the resolution of any such dispute, and you waive any objection to the exercise of personal jurisdiction over you by such courts.

17 Dispute Resolution and Arbitration

Mandatory Binding Arbitration: Except as expressly provided below, any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Swapskees platform, or the breach, termination, enforcement, interpretation, or validity thereof — including the determination of the scope or applicability of this agreement to arbitrate — shall be determined by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules, before a single arbitrator. The seat of arbitration shall be Ohio, and the arbitration shall be conducted in the English language. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: YOU AND SOURCE DOMINION LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, PRIVATE ATTORNEY GENERAL, OR MULTI-PLAINTIFF ACTION OR PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class or representative proceeding.

Exceptions: Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or to address an emergency involving the risk of harm to persons or property. Nothing in this Section shall prevent either party from filing a complaint with a government agency or regulatory body.

Opt-Out: You may opt out of this arbitration agreement within thirty (30) days of first accepting these Terms by sending written notice to legal@swapskees.com with the subject line "Arbitration Opt-Out" and including your name, email address, and account username. If you opt out, you agree that any disputes will be governed by the laws of the State of Ohio as provided in Section 16.

18 Changes to Terms

Source Dominion LLC reserves the right to modify, amend, or replace these Terms at any time and in its sole discretion. When changes are made, we will update the "Effective Date" at the top of this page. For material changes, we may also provide notice via email to the address associated with your account or by displaying a prominent notice within the platform.

Your continued use of the Swapskees platform after the updated Terms have been posted constitutes your acceptance of and agreement to the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the platform immediately and may close your account.

It is your responsibility to review these Terms periodically to stay informed of any updates. Source Dominion LLC will not be liable for any failure on your part to remain informed of changes to the Terms.
